A Comparative Analysis of S.R.L. and S.A. for Foreign Investors

Foreign investors are predominantly interested in S.R.L. and S.A. company types. When describing and distinguishing between these two corporate forms, the following points should be considered:

Corporate Types S.R.L. (LLC) S.A. (JSC)
Shareholder liability NO YES
Number of shareholders 1-50 2+
Dissolution and liquidation A single shareholder can block the process The majority holds the right to dissolve

The process of establishing an S.R.L. in its basic form is completed by just two state agencies:

1.Chamber of Commerce

  • Research and registration of the company name.
  • Approval of headquarters.
  • Approval of shareholders and directors.
  • Submission of all supporting documents and final approval of company formation. After the Chamber of Commerce approves the formation, the new company will receive both a VAT number and a Registration Number, and then proceed further with the Tax Authorities.

2.Tax Authorities

  • Registration and integration into the VAT system.
  • Registration and integration into the European VIES system for intra-community transactions. This process can take from 4 to 30 days, depending on the specific circumstances of the case.

For example, according to the Romanian Tax Code, an S.R.L. can choose whether it wants to charge VAT. In cases where companies choose not to charge VAT, they are not permitted to include VAT on their invoices.
